SAMUEL OGLE MIDDLE SCHOOL PARENT TEACHER STUDENT ORGANIZATION

Constitution and By-Laws

 

Article 1 – Name

The name of this organization shall be the Samuel Ogle Middle School Parent-Teacher-Student Organization (PTSO).

 Article 2 – Purpose and Objectives

The purpose of the Samuel Ogle Middle School PTSO shall be:

·         To promote and encourage communication and understanding between the parents, teachers, administration, students and community of Samuel Ogle Middle School  through an exchange of ideas on topics of mutual interest;

·         To promote the mission of Samuel Ogle Middle School;

·         To bring education into the home so that parents and teachers may cooperate in the education of the children, securing for every child the highest advantages in all aspects of their education; and

·         To serve as an instrument that helps to unify the efforts, time, and talents of the students, parents, and teachers so that the school may truly be a center of education, developed and conveyed to the child.

 Article 3 - Membership

Membership shall be open to all parents, legal guardians, teachers, staff, students enrolled Samuel Ogle Middle School and any member of the community with interest to promote the mission of the Samuel Ogle Middle School PTSO. Membership duration shall be from August 1 to July 31 of the following year.  Dues will be set by the executive board and can only be changed at the June meeting for the following year.

Article 4 - Officers and Terms of Office

Section 1:

The officers for the Samuel Ogle Middle School PTSO shall be a president, 1 vice-president, treasurer, secretary, 1 member-at-large and a parliamentarian.

Section 2:

Officers shall be elected at the May PTSO meeting by ballot vote. If, however, there is but one nominee for any office, with a motion from the floor, the election may be by voice vote.

Section 3:

Officers shall assume their official duties at the close of the June PTSO meeting, and shall serve for the term of one (1) year.

Section 4:

Any officer of the Samuel Ogle Middle School PTSO shall not serve more than two consecutive terms in the same office unless a unanimous vote is casted by the members present and voting at the annual election of officers.

Section 5:

Any PTSO member elected by a majority vote shall fill a vacancy occurring in any office, with the exception of the president, for the remainder of the unexpired terms. In case a vacancy should occur in the office of the president, a Vice-President shall serve as president for the remainder of the term, appointed by a majority vote of the executive board.

 Article 5 - Duties of the Officers

Section 1:

The President shall:

·         preside at all meetings of the Samuel Ogle Middle School PTSO and of the Executive Board;

·         perform such other duties as may be assigned to him/her by the Samuel Ogle Middle School Parent-Teacher-Student Organization;

·         coordinate the work of the officers and committees in order to ensure that the objectives of the Samuel Ogle Middle School PTSO may be promoted.

Section 2:

The Vice President shall:

·         coordinate fundraising and social efforts;

·         coordinate public affairs and media;

·         coordinate membership;  

·         assume any other responsibilities delegated to him/her by the Executive Board.

Section 3:

The Recording Secretary shall:

·         record, transcribe, copy and distribute the minutes of all meetings of the Samuel Ogle Middle School PTSO and of the Executive Board;

·         maintain an up-to-date list all Members or delegate it to another PTSO Member;

·         provide copies of all minutes and treasury reports for the most recent twelve- (12) months;

·         perform such duties as may be delegated by the Executive Board.

Section 4:

The Treasurer shall:

·         receive all funds of the Samuel Ogle Middle School PTSO;

·         keep an accurate record of expenditures and receipts;

·         pay out funds as authorized by the Executive Board or the Samuel Ogle Middle School PTSO.

·         present a written financial statement at every meeting of the Samuel Ogle Middle School PTSO, to be filed with the recording secretary, and

·         make a full report at the final meeting of the school year.

Section 5:

All Officers shall perform the duties listed in these by-laws and those assigned from time to time and shall deliver to their successors all official material within fourteen (14) days after the meeting at which their successor was elected.

 Article 6 - The Executive Board

Section 1:

The Executive Board shall consist of the officers of the Samuel Ogle Middle School PTSO, the School Principal, and the following individuals appointed by the PTSO officers; a Teacher Representative and a Student Representative.

Section 2:

All proposals of the Executive Board shall be shared with the Samuel Ogle Middle School PTSO families by e-mail, letter, newsletter, or open meeting. All proposals shall be submitted to the PTSO upon completion of the required proposal form.

Section 3:

A quorum for the executive board shall consist of five (5) or more members, three (3) of which must be PTSO officers.  The Executive Board will meet on a monthly basis. On those months where a regular PTSO meeting is scheduled, the Board shall meet at least thirty (30) minutes prior to the general meeting or at a time voted on by the board.

Section 4:

The President may call for a special meeting of the Executive Board for any reason or at the request of any member of the Executive Board.

Section 5:

The duties of the Executive Board shall be:

§         To transact necessary business between the Samuel Ogle Middle School PTSO and other business as may be referred to it by outside organizations;

§         To create standing committees;

§         To approve the plans of work of the standing committees;

§         To present a report at the regular meetings of the Samuel Ogle Middle School PTSO.

Section 6:

The duties of the Parliamentarian shall be:

·         Shall attend all meetings of the PTSO and of the executive board and give necessary advice in parliamentary procedure when requested.

·        Shall call the first meeting of the nominating committee, conduct election of chairman and give instructions in procedure, and may be contacted for additional information, if needed, and shall attend meetings of the nominating committee only if appointed to serve as a member of the committee.

·         Shall chair bylaws committee and review bylaws and standing rules annually.

Article 7 – Committees

Section 1:

The standing committees shall be the Fundraising and Membership. Additional committees shall be appointed by the Executive Board as the need arises.

Section 2:

The President shall be a permanent member of all committees.

Section 3:

The Executive Board of the Samuel Ogle Middle School PTSO shall select the Chairperson(s) of committees. The term of the chairperson(s) shall be one (1) year.

Section 4:

The chairperson(s) of each committee shall present a plan for the Executive Board to approve. No committee work shall be undertaken without the consent of the PTSO Executive Board.

Section 5:

The President may appoint Special Committees with the approval of the Executive Board.

Article 8 – Duties of the Committees

Section 1:

Fundraising: The Fundraising Committee and shall be responsible for developing, implementing, and administering all fundraising activities sponsored by the PTSO.

Section 2:

Membership: The Membership Committee shall be responsible for promoting membership of the PTSO, for registering voters, and for maintaining membership logs and records.

Section 3:

Public Affairs: The Public Affairs Committee and shall be responsible for developing strategies on promoting Samuel Ogle Middle School to the general community.

Article 9 - Meetings

Section 1:

Prior to the start of the new school year, the Executive Board shall set the meetings for the School Year. The Board may schedule additional meetings as appropriate.

Section 2:

With the exception of the first year, a minimum of nine (9) Samuel Ogle Middle School PTSO meetings shall be held in each year.

Section3:

The President of the PTSO, or a written request submitted by ten (10) percent of the Samuel Ogle Middle School PTSO, may request a special meeting. The written request must be submitted through the Secretary with at least twenty-four (24) hours of advance notice.

Section4:

All members of the Samuel Ogle Middle School PTSO must have five (5) days of advance notice before the scheduling of a special meeting except in an emergency situation.

Section 5:

All motions made, must be seconded and voted upon by the members of the Samuel Ogle Middle School PTSO.

Section 6:

In order for a member to vote upon any motion made, seconded and discussed, the member must be present at the time of voting.  Voting by proxy shall not be permitted, and proxy votes will not be included in voting deliberations.

Section 7:

To make the meetings accessible to everyone, the PTSO should meet on the second Tuesday of each month that meetings are scheduled. The meetings shall start at 7:00 PM at the middle school if available.

Section 8:

The Executive Board will generally meet on a monthly basis, with a minimum of eight meetings. On those months where a regular PTSO meeting is scheduled, the Board shall meet at least thirty (30) minutes prior to the general meeting or at a time voted on by the board.

Article 10 - Amendments

Section 1:

These By-Laws may be amended at any regular meeting of the Samuel Ogle Middle School PTSO by a majority vote of the membership present and voting, provided written notice of the proposed amendment shall have been given to the membership at least one (1) week prior to the vote.

Article 11 – Election Process

Section 1:

Nominations for the new PTSO board members will be called for at the scheduled PTSO meeting in March. Nominations and acceptance once of nominations will be taken at the April PTSO meeting.

Section 2:

Anyone who is a member of the Samuel Ogle Middle School PTSO for more than six (6) months that school year may be nominated for office.

Section 3:

The voting process is as follows:

      1. Any member shall be eligible to vote.
      2. Voting for office shall take place during the May PTSO meeting by ballot unless only one person is nominated for office, and then a voice vote will be performed.

Section 4:

Prior to the beginning of the new school year the newly elected officers will be installed.

Article 12 – Parliamentary Authority

Section 1:

Roberts Rules of Order Revised shall govern the Samuel Ogle Middle School PTSO in all cases where they are applicable and not in conflict with the PTSO’s by-laws.

Section 2:

The president at the first PTSO board meeting will appoint one member to serve as the PTSO Parliamentarian.  The Parliamentarian shall perform all duties as set forth in the by-laws and shall be a member of the executive board.

 Article 13 – Dissolution Clause

 The PTSO may be dissolved only with authorization by the Executive Board given at a special meeting called for that purpose and with subsequent approval by a two-thirds (2/3) vote of the Active Members (status determined by Membership Committee).  All active members must be notified by mail of the time and location of the pending action, at least thirty (30) days before such vote is taken.

 Upon the dissolution of the Samuel Ogle Middle School PTSO, the officers shall, after paying or making provisions for the payment of all liabilities of the PTSO, dispose of all assets of the PTSO exclusively for the purposes of the PTSO in such manner or to such organization(s) organized and operated exclusively for charitable purposes as shall at the qualify as an exempt organization(s) under section 501(c)(3) of the Internal Revenue Code of 1954, or the corresponding provision of any future United States Internal Revenue Law, or under Maryland Statute, as the officers shall determine.
